Terms of Service

The short version: Use WiseNotes responsibly, keep your recovery phrase safe (we can't recover it for you), and understand that because your notes are private to you, keeping backups is your responsibility. WiseNotes Pro is a subscription billed through Apple.
These Terms of Service ("Terms") are an agreement between you and WiseNotes ("WiseNotes," "we," "us") — operated by Jacob Hoogendyk (sole proprietor) — governing your use of the WiseNotes apps for iPhone and Mac (the "App") and the wisenotes.io website. By downloading or using the App, you agree to these Terms. If you don't agree, don't use the App.
1. Your license to use WiseNotes
We grant you a personal, non-exclusive, non-transferable, revocable license to use the App on devices you own or control, for your personal or internal business use, subject to these Terms and the App Store rules. You may not copy, modify, reverse-engineer, resell, or redistribute the App except as permitted by law.
2. WiseNotes Pro subscriptions
- Core WiseNotes is free to use on a single device. WiseNotes Pro unlocks sync across devices, collaboration, and other Pro features.
- Subscriptions are sold and billed by Apple through your App Store account at the prices shown in the App (for example, monthly or annual plans).
- Auto-renewal: subscriptions renew automatically at the end of each period unless you cancel at least 24 hours before it ends. Your account is charged for renewal within 24 hours before the period ends.
- Managing & cancelling: manage or cancel anytime in your device's Settings → Apple ID → Subscriptions. Cancelling stops future renewals; you keep Pro until the current period ends.
- Refunds are handled by Apple under Apple's policies; we generally cannot issue refunds directly.
3. Your recovery phrase and account security
Your recovery phrase is the key to your encrypted notes. We never receive it and cannot reset, resend, or recover it. You are responsible for keeping it secret and safe. If you lose it and no longer have a device that is signed in, you may permanently lose access to your notes. Anyone who obtains your recovery phrase can read your synced notes.
4. Your content and your backups
You own your notes and everything you create in WiseNotes. Because your content is end-to-end encrypted and we keep no readable copy, you are responsible for maintaining your own backups. We provide tools to help — syncing across multiple devices and exporting backup files — but we cannot recover content that no longer exists on any of your devices or in a backup you've made. To the maximum extent permitted by law, we are not liable for any loss of notes or data.
5. Collaboration
If you share notes with other people, you are responsible for who you share with and what you share. Shared content is end-to-end encrypted between participants. People you share with can read, and depending on permissions edit, the notes you share with them. Revoking access stops future updates but does not delete copies already on a collaborator's device.
6. Acceptable use
You agree not to use WiseNotes to break the law, infringe others' rights, distribute malware, or attempt to disrupt or gain unauthorized access to our systems or the sync relay. You are solely responsible for the content you store and share.
7. Disclaimers
WiseNotes is provided "as is" and "as available," without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the App will be uninterrupted, error-free, or that data will never be lost. Sync depends on networks and third-party infrastructure we don't fully control.
8. Limitation of liability
To the maximum extent permitted by law, WiseNotes and Jacob Hoogendyk (sole proprietor) will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of data, profits, or goodwill, arising from your use of the App. Where liability cannot be excluded, it is limited to the amount you paid us (if any) in the 12 months before the claim.
9. Termination
You may stop using WiseNotes at any time by deleting the App. We may suspend or end your access if you materially breach these Terms or misuse the service. Sections that by their nature should survive (ownership, disclaimers, liability limits) survive termination.
10. Apple App Store
These Terms are between you and WiseNotes, not Apple. Apple has no obligation to provide support or maintenance for the App. Apple's standard Licensed Application End User License Agreement also applies; where it conflicts with these Terms, the Apple EULA governs to the extent required. Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them.
11. Changes to these Terms
We may update these Terms from time to time. We'll revise the "Last updated" date and, for material changes, provide notice where appropriate. Continuing to use the App after changes take effect means you accept the updated Terms.
12. Governing law
These Terms are governed by the laws of the State of Michigan, United States, without regard to its conflict-of-laws rules. Disputes will be resolved in the courts located in Ingham County, Michigan, except where applicable consumer-protection law gives you the right to bring a claim elsewhere.
